Thank you for choosing the services (hereinafter referred to as “Services” or “Site” or “site”) offered by Timbukdo Technologies Pvt Ltd (hereinafter referred to as “Company,” “We,” “Us,” “Our” or “Timbukdo”). The term “You” (or “Your” as applicable) refers to the user or viewer or applicant or Hirer or customer of our Site. By browsing, accessing, subscribing, or using our Service or Site or installing our mobile App (also referred to as “using”), you hereby expressly acknowledge and agree to comply with and be bound by the following terms of use. Please review the following terms carefully. If you do not agree to these terms, you should not use this Site.

By using the Site, You represent and warrant that:

1. You are at least 18 years old.
2. You have the lawful and financial authority and capacity to contract and be bound by these Terms and to perform the obligations as contemplated hereunder.
3. If You are accepting these Terms on behalf of a company, limited liability partnership, partnership, or any other legal entity, You have the authority to bind such entity to these Terms and, in such event, “You” and “Your” as used in these Terms shall refer to such entity.
4. If you are a legal entity (as described in clause “3” above) and are permitting an employee of the legal entity to use the Site through your account as an employee or a user (“Employee”) identified through an unique login, you have the authority to bind such employees and users to these Terms and, in such event, “You” and “Your” as used in these Terms shall refer to such entity and It’s Employees.
5. You have, of Your own free will and accord, opted to visit this Website and provide all the information and accept these Terms.

Acceptance of Agreement
You agree to the terms and conditions provided in this Terms of Service (hereinafter referred to as “Agreement” or “Terms”) with respect to our site. This Agreement constitutes the entire and only Agreement between Us and You, and supersedes all prior agreements, representations, warranties, and understandings with respect to the Site, the content, products, or services provided by or through the Site, and the subject matter of this Agreement. We may amend this Agreement from time to time without specific notice to you. We shall make this Terms of Service available on our Site at all times and You shall review this Agreement prior to using Our Site.
The rights granted to You to use the Site under these Terms do not convey any additional rights in the Site, or in any Intellectual Property Rights associated therewith. Timbukdoreserves all its rights to fully paid-up, royalty-free, worldwide, transferable, sub-licensable, irrevocable, and perpetual license to implement, use, modify, commercially exploit, and/or incorporate into the Site or otherwise use any suggestions, enhancement requests, recommendations, or other feedback We receive from You or other third parties acting on Your behalf.
The contents of the Service are only for the purposes that you may be enrolled for. It is further specifically stated that this Agreement does not specifically permit You to use the contents of the Service in any manner whatsoever.

Limited Rights and Permitted Uses 
You are granted a non-exclusive, non-transferable, revocable right to enrol, register, access and use the Service strictly in accordance with this Agreement.
Any individual and organisation wanting to make use of Our Site to post any jobs (“Jobs”) for self or for an organisation he/she represents is referred to as “Hirer” or “Hirers” as context may require.
Any individual wanting to make use of Site to apply to Jobs listed on Timbukdois referred to as “Applicant” or “Applicants” as context may require.

Registration Data and Account Security
In consideration of your use of the Site, you agree to: (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site (“Registration Data”); (b) maintain and promptly update the Registration Data, and any other information you provide to Timbukdo, to keep it accurate, current and complete; (c) maintain the security of your password and identification; (d) notify Timbukdo immediately of any unauthorized use of your account or any other breach of security; (e) accept all responsibility for any and all activities that occur under your account; and (f) accept all risks of unauthorized access to the Registration Data and any other information you provide to Timbukdo. Please refer to our Privacy Notice for more details on how we collect, store, use, and retain your data on the Site.

Terms & Conditions for Business Service Providers
These Terms specifically are for the  business service providers, which you are required to go through. You shall be governed by the Terms of the Business Service Agreement.

Your Account
If you our Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner. Please ensure that the details you provide us are correct and complete and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the information you provided us with in the Your Account area of the Site. You agree and acknowledge that you shall use your account on the Site to sell your products and/or services only for your business purposes that are not illegal or unlawful. We reserve the right to refuse your access to the Site, suspend or terminate accounts, remove or edit content at any time without notice to you.

Privacy
Please review our Privacy Notice, which also governs your visit to our Site, to understand our practices. The personal information / data provided by you to us during the course of usage of our Sitewill be treated in accordance with the Privacy Notice and applicable laws and regulations. If you object to your information being transferred or used, please do not use our Site.

E-Platform for Communication
You agree, understand and acknowledge that the website is an online platform that enables you to purchase /sell products and / or services listed on the website at the price indicated therein at any time from any location. You further agree and acknowledge that Timbukdois only a facilitator and is not and cannot be a party to or control in any manner any transactions on the website. Accordingly, the contract of sale of products and/or services on the website shall be a strictly bipartite contract between the buyers and sellers on Timbukdo website.

Access to our Site
We will endeavour to ensure that our website will be uninterrupted and that transmissions will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Also, your access to the website may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.

Your Conduct
You must not use the website in any way that causes, or is likely to cause, the website or access to it to be interrupted, damaged or impaired in any way .You are responsible for all electronic communications and content sent from your computer to us and you must use the website for lawful purposes only.

You must not use the website:
for fraudulent purposes, or in connection with a criminal offense or other unlawful activity; or to send, use or reuse any material that does not belong to you; or is illegal, offensive (including but not limited to material that is sexually explicit content or which promotes racism, bigotry, hatred or physical harm), deceptive, misleading, abusive, indecent, insulting or harassing, blasphemous, defamatory, libellous, obscene, pornographic, paedophilic, or menacing; ethnically objectionable, disparaging or in breach of copyright, trademark, patent, confidentiality, privacy or any other proprietary information or right; or is otherwise injurious to third parties; or relates to or promotes money laundering or gambling; or is harmful to minors in any way; or impersonates another person; or threatens the unity, integrity, defence, security or sovereignty of India or friendly relations with foreign States or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation; or objectionable or otherwise unlawful in any manner whatsoever; or which consists of or contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource, political campaigning, commercial solicitation, chain letters, mass mailings or any “spam; or is patently false and untrue; or to cause nuisance, harassment, annoyance, inconvenience or needless anxiety.

Indemnity and Release
You shall indemnify and hold harmless Timbukdo, its officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms of Use or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party.You hereby expressly release Timbukdo and its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

Terms & Conditions for Hirers
These Terms specifically are for Hirers, which you are required to go through. Any violation of these Terms may result in, but not limited to, an Hirer’s Job being declined for publication on Timbukdo and/or his/her account being suspended or permanently blocked and/or appropriate legal action being initiated against him/her by Timbukdo.

Job Posting:
It is your responsibility to ensure that you are authorized to post Jobs on your organization’s behalf. Any dispute or legal claim arising out of unauthorized posting would be solely your liability and you indemnify Timbukdo and its directors, officers, and employees and hold Us harmless of any and all possible consequences of such actions.
If you upload your organization’s logo, wordmark, or trademark while posting your Job or creating/updating your company profile, you are authorizing Timbukdo to display it on our website along with Job post or in the list of our clients. You shall be responsible to ensure that you are duly authorized to share your organization’s logo or wordmark or trademark with third parties and allow them to use it.

Timbukdo reserves the right to publish the Job post of Hirers on its social media handles and job board partners like LinkedIn, Naukri, Indeed, Shine, Sheroes, Qween, etc., and in newspapers in order to increase the visibility of the Job post.
You must provide accurate and complete details about the organization and the Job. Any act of misinformation or hiding material information shall result in your account being suspended or permanently blocked or subjected to any other suitable action as deemed fit by Timbukdo.
You may be asked for documents in the name of your company or the business entity for our first-time user authentication process. This information will only be used for authentication purposes and will not be used anywhere else in any form.

Timbukdoshall NOT allow:
Any Job where there is a possibility of an Applicant consuming alcohol or smoking or inducing others to do so, as the majority of our users are young persons.
Individuals or organisations promoting explicit religious content, a particular religious personality, or a sect, or induces racial or gender discrimination etc. are not allowed to post Jobs on Timbukdo.
Businesses promoting or dealing in gambling, porn, and other prohibited/illegal/age-inappropriate activities.

Third party Job posting.You can post Jobs only for the organization that you directly work for. If you are a recruiting agency or any third-party agency you are not authorized to post Jobs on your client’s behalf.
Training program and any such program where Applicants are expected to pay a security deposit or an admission fee or employment that charge money in any form (including test fee, security deposit, documentation fee etc.).
Modelling Jobs by business entities that are not well-known.
Network or Multi-Level Marketing (NLM/MLM) jobs where Applicants/individuals have to use their personal connections and personal social media accounts to promote a business.
Or any other Jobs that We deem irrelevant or inappropriate to the Applicants on our Site.

Hiring:
You shall be responsible to ensure that there is no material difference between the Job details that you advertise on Timbukdoand the details that You communicateto Applicants later in the selection process (pre-interview, in offer letter etc.). Any material difference or inconsistency (such as offered remuneration being lower than what was posted on our Site) will result in suitable action being taken by Timbukdo against you.
Once you hire any Applicant(s) for your Job, you must provide them with an offer letter clearly detailing all the vital details of the Job (such as role & responsibilities, remuneration, and payment mechanism) and complete address and contact details of your organisation.
You must pay the promised remuneration to the selected Applicants in a timely manner as per agreed terms and conditions in the offer letter. Non-payment of the remuneration or delayed payment of the remuneration is strictly prohibited and would invite suitable action against you.

Any assignment(s) that you may give to Applicants to assess their suitability for the Job should be fair and relevant to the Job profile. Any attempt to get work done for free from Applicants disguised as assessment or to get them to download or generate downloads for your app or get likes/shares/comments etc. for your social media handles only for the purpose of getting free publicity disguised as an assignment are strictly prohibited and would invite suitable actions against you.
You must respond within 72 working hours to any Applicant complaints regarding your Job that we may bring to your notice. Failure to do so may result in a temporary or permanent suspension of your Timbukdo account depending on the nature of the complaint.
All your communications with Applicants (through Timbukdo Chat or otherwise) should be professional and must not contain any obscene or offensive content or constitute sexual harassment.
If you come across any suspicious activity, content, or behaviour on Timbukdo by an Applicant or another user, you must report it to Timbukdo immediately so that necessary actions can be taken.
Weshall put our best efforts and practices to get you the best talentsto suit your Job, however, we do not represent or guarantee the hiring.

Applicant data usage:

You can use the Applicants’ data that you receive for your Job solely for the purpose of hiring. You shall not attempt to send any other communication (e.g., promotional content or any unsolicited communications) to the Applicants or use the data otherwise.
You are strictly prohibited from transferring/selling/sharing Applicants’ data, for free or for a fee, to any other entity or individual. We reserve the right to suspend or permanently block your account with Us and You and Your organization shall be liable for any legal action.

Payment &Refunds:
Hirer may subscribe to Timbukdo’s services as offered in its Website. Timbukdo offers its services on 100% non-refundable prepaid subscription fee as specified in its Website.
Timbukdooffers no guarantees whatsoever for the accuracy or timeliness of the refunds reaching the Hirers card/bank accounts.

Terms & Conditions for Applicants
These Terms, specifically for Applicants, which you are required to go through. Any violation of these terms and conditions may result in, but not limited to, an Applicant’s Job application being declined and/or his/her account being permanently blocked and/or suitable legal action being initiated against him/her by Timbukdo.
If you have applied for a Job on Timbukdo and receive a communication from Timbukdo or Hirer regarding your application, you must respond to it with-in 72 hours.
Once you accept a Job offer, you must make every possible effort to join and start the Job on time. To not show up or to decline an earlier accepted Job offer at the last moment, or to go incommunicado creates a poor impression of you in front of the Hirer and reduces the credibility of the Applicant community at large. Any such behaviour will not only result in your account being suspended or blocked on Timbukdo.
You must provide accurate and complete information at the time of Job application or creating an account on Timbukdo – any misrepresentation of information, or hiding of material information, or impersonation shall result in your account being suspended or blocked on the Site.
You must pay attention to a Job’s complete details (profile, location, remuneration, skills required, etc.) before applying for it. Irrelevant applications will result in your account being penalized by us stopping you from applying to future Jobs or suspend or block your account all together)
You are strictly prohibited from transferring/selling/sharing Hirers’ data (contact details etc.), for free or for a fee, with any other entity or individual. We reserve the right to suspend or block your account permanently if you make any such attempts and We may initiate legal action against you.

Timbukdo community is for genuine and sincere users who are known for and are expected to demonstrate ambitious standards of professionalism in their dealings with other users and Hirers – you are required to maintain these standards and decorum of the community. All your communications with other users of Timbukdo (through Timbukdo Chat or otherwise) should be professional and must not contain any obscene or offensive content or constitute sexual harassment.
For Your welfare we provide you with certain ‘Guidelines toApplicants’ section and we strongly recommend you read them.
Wemake all the best of efforts to provide you with accurate and reliable Job information; however, there are possibilities for an error to occur. Hence, you must conduct your own due diligence and research about an Hirer or organisation before starting a Job and take full responsibility of the same. You further agree to have read and understood the ‘Disclaimers’ section of these Terms and explicitly and specifically agree to it.
If you come across any suspicious activity, content or behaviour on Timbukdoby an Hirer or another user, you must report it to Timbukdo immediately so that necessary actions can be taken – this is both your duty and obligation.
We make and put our best efforts and practices to bring you great Job opportunities possible, however We do not represent or guarantee a Job.
Upon registration, your registered email id and phone number will be automatically subscribed to receive email and SMS notifications from Timbukdo. You may opt out of it anytime.

Guidelines to Applicants
We strive to provide all our Applicants with a safe, easy, and pleasurable experience on Timbukdo. Hencewe recommend certain guidelines for you.

Timbukdo does NOT allow Hirers to:
Offer any Job where there is a possibility for an Applicant consuming alcohol or smoking or inducing others to do so, as the majority of our users are young persons..
Offer Jobs from individuals or organisations promoting explicit religious content, a particular religious personality, or a sect or induces racial or gender discrimination etc..
Offer Jobs at businesses promoting or dealing in gambling, porn, and other prohibited/illegal/age-inappropriate activities.

Make third party Job posting.An Hirer can post Jobs only for the organization that he/she directly works for. We do not entertain any recruiting agencies, or any third-party agencies authorized to post Jobs on their clients’ behalf.
Offer unpaid Jobs, unless explicitly mentioned so in the Job post.
Post training program and any such program where Applicants are expected to pay a security deposit or an admission fee.
Charge money in any form (including test fee, security deposit, documentation fee etc.) from the Applicants for offering Job.
Offer modelling Jobs by business entities that are not well-known.
Offer Network or Multi-Level Marketing (NLM/MLM) jobs where Applicants/individuals have to use their personal connections and personal social media accounts to promote a business.
Or any other Job offers that Timbukdodeems irrelevant or inappropriate to the Applicants on our Site.

Further, it is mandatory for Hirers to ensure that :
Jobs details communicated to Applicants at any stage are same as advertised on Timbukdo and there is no material difference or inconsistency (Ex. – offering lower or no remuneration than what was advertised on Timbukdo).
Once they hire any Applicant(s) for their Job, they must provide them with an offer letter clearly detailing all the vital details of the Job (such as role & responsibilities, remuneration, and payment mechanism) and complete address and contact details of Hirer.
They pay the promised remuneration to the selected Applicant(s) in a timely manner as per agreed terms and conditions of the Job as detailed in the offer letter.
They make no advancement that constitute a sexual harassment to the Applicant.
Any assignment(s) that they may give to Applicants to assess their suitability for the Job should be fair and relevant to the Job profile. Any attempt to get work done for free from Applicants disguised as assessment or to get them to download or generate downloads for an app or get likes/shares/comments etc. for Hirer’s social media handles only for the purpose of getting free publicity disguised as an assignment are strictly prohibited.
All their communications with Applicants (through Timbukdo Chat or otherwise) are professional and must not contain any obscene or offensive content.
If you come across any example of any Hirer violating these guidelines, you must report it to Timbukdo so that we can investigate and take appropriate actions.

THIS SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND TIMBUKDO AND ITS DIRECTORS, EMPLOYEES, CONTENT PROVIDERS, AGENTS AND AFFILIATES EXCLUDE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE. All elements of this Site, including, but not limited to, the general design and the Content thereof, are protected by copyright, moral rights, trademark, and other laws related to the protection of intellectual property rights. Except for, as explicitly permitted under this, or other written license or agreement with Timbukdo, no portion or element of this Site or its content may be copied or retransmitted via any means. This Site and its Content are intended for Users of Timbukdo. You shall not use this Site or the content for any purpose, which is not related to your business with Timbukdo. Any use of the Content, this Site or any of its functionality for a purpose not permitted by these Terms is grounds for the immediate revocation of any usernames, pass codes or other permissions that may have been granted by Timbukdofor use of this Site. You shall not use meta-tags or any other “hidden text” utilizing content or any other name, trademark or product or service name of the Company without our prior written permission. You shall not copy, imitate, or use in whole or in part, without our prior written permission, the look and feel of the Site, including all page headers, Site name and logo, custom graphics, button icons and scripts, and the trade dress. Chargeback
You hereby expressly agree that once you or any other person have started the process of downloading content from the site by expressly, without reservation, agreeing to the terms and conditions of the site and license agreement, by clicking and accepting them and have further submitted your credit card/ any other card details to the site/internet banking service provider for payment and your account gets debited no chargeback claim/dispute with regard to the failure of delivery of Product/ Content or the use/misuse of such credit card or any other card, filed by you/on your behalf with the Credit Card Provider/Internet banking service provider or any Bank/Financial Institution shall be binding on Timbukdo or Timbukdo’s Merchant Bank. You accept and take full responsibility towards the ownership/possession and use of your credit card or any other card. You expressly waive and consciously give up any/all rights you may have in law or in any agreement between you and the credit card or any other card provider/internet service provider or under network rules and regulations to raise any dispute to claim any charge back or any process fee from any Bank/Financial Institution/ Internet banking service provider affecting Timbukdo in any manner pecuniary or otherwise on any grounds whatsoever including non-delivery of Product/Content or fraudulent or improper transactions by the unauthorized/improper use of your credit/debit card or any other card. This understanding that you will have no right to claim any chargeback is a material condition of this agreement and once you hereby expressly agree to it you shall be stopped from challenging/disputing it in any adjudication/proceeding before any Bank/Financial institution/ Internet banking service provider or Court or otherwise. Without prejudice to Timbukdo’s right to defend its interest(s), Timbukdo shall not be made a party to any chargeback proceedings before any Bank/Financial institution/ Internet banking service provider or court and in no case be required to prove the transaction effected by the use of your credit/debit or any other card was legitimate and genuine, or that Timbukdo has actually provided you the downloaded content. Severance and Waiver
No action of Timbukdo, other than an express written waiver or amendment, may be construed as a waiver or amendment of any of these Terms. If any clause in these Terms is found to be unenforceable, wherever possible, it will not affect any other clause, and each will remain in full force and effect. We reserve the right to change these Terms, the Content displayed on the Site, any license contained on the Site and any other information or license terms without prior notice. These Terms set out the entire agreement between Timbukdoand You relating to your use of this Site. We reserve all the rights that are not expressly granted herein.

Grievance Cell: Dispute Resolution, Jurisdiction and Governing Laws
All license agreements, use or any issues arising out of any activity regarding the use of this Site shall be redressed by the Timbukdo Grievance Cell (“TGC”). TGC will redress the concerns, disputes raised by You and endeavour to resolve it amicably in accordance with the applicable laws of India.
